PART I: General Provisions

Article 1: Acceptance of Terms

These Website Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and ERAUK (formerly Eritrean Relief Association UK) (“the Charity”, “we”, “us”, or “our”), a company limited by guarantee registered in England and Wales and a registered charity, governing your access to and use of the www.era-uk.org website and any associated subdomains, microsites, or mobile applications operated by the Charity (“Website”).

By accessing or using our Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Website Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Website. Your continued use of the Website following the posting of any changes to these Terms constitutes acceptance of those changes.

These Terms supplement and should be read in conjunction with our broader Terms and Conditions of Engagement, which govern the relationship between the Charity and those who engage with us in various capacities. In the event of any conflict between these Website Terms and the Terms and Conditions of Engagement, the more specific provision shall prevail.

Article 2: Capacity and Authority

By using this Website, you represent and warrant that you are at least eighteen years of age and possess the legal capacity to enter into binding agreements. If you are under eighteen years of age, you may use this Website only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

If you are accessing or using the Website on behalf of an organisation, company, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, the terms “you” and “your” shall refer to such entity as well as the individual accessing the Website. If you lack such authority, or if you do not agree with these Terms, you must not access or use the Website on behalf of such entity.

The Charity reserves the right to refuse access to the Website, terminate accounts, remove or edit content, or cancel donations or other transactions at any time and for any reason, including but not limited to violation of these Terms, suspected fraudulent or illegal activity, or behaviour that the Charity deems harmful to its interests, reputation, or charitable objectives.

Article 3: Charitable Purpose and Website Objectives

This Website is operated by the Charity in furtherance of its charitable objects: the advancement of education, the advancement of health and saving of lives, and community development and capacity building, with particular focus on supporting communities in Eritrea and the Eritrean diaspora in the United Kingdom.

Primary purposes of this Website include:

  • Providing information about the Charity’s work, governance, and impact;
  • Facilitating donations and other forms of support;
  • Recruiting and coordinating volunteers;
  • Sharing news, updates, and educational content; and
  • Maintaining transparency and accountability to our stakeholders.

The Charity operates on the principle that ninety-five per cent of all funds raised are directed to charitable programmes, with administrative costs not exceeding five per cent. This commitment is reflected in our Website operations, which are maintained primarily through volunteer effort to minimise costs whilst ensuring effective digital engagement with our supporters and beneficiaries.

PART II: Website Use and Conduct

Article 4: Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use our Website for lawful purposes consistent with these Terms. This licence includes the right to view and download materials from the Website for personal, non-commercial use, provided that you maintain all copyright and other proprietary notices contained in the original materials.

Permitted uses include learning about the Charity’s work and impact; making donations; signing up to volunteer or participate in events; subscribing to newsletters and updates; accessing educational resources and information; and contacting us with enquiries or feedback. You may share links to our Website and its content through social media and other channels, provided such sharing does not misrepresent the Charity or its work.

The licence granted herein does not include the right to collect or harvest information from the Website using automated means; create derivative works based on the Website’s content without prior written permission; use the Website’s content for commercial purposes; or access the Website through automated means that impose an unreasonable load on our infrastructure.

Article 5: Prohibited Conduct

You agree not to engage in conduct that violates applicable laws, regulations, or these Terms. Prohibited conduct includes but is not limited to activities that are unlawful, fraudulent, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, provocative, inciteful, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.

You shall not use the Website to transmit viruses, worms, defects, Trojan horses, or other items of a destructive nature; attempt to gain unauthorised access to any portion of the Website, other accounts, computer systems, or networks; interfere with or disrupt the Website or its servers or networks; or violate any requirements, procedures, policies, or regulations of networks connected to the Website.

Additionally, you shall not impersonate any person or entity or misrepresent your affiliation; forge headers or otherwise manipulate identifiers; upload, post, or transmit any content that you do not have a right to transmit under law or under contractual or fiduciary relationships; or collect or store personal data about other users without their express consent.

Article 6: User Content and Submissions

Certain areas of our Website may allow users to submit content, including comments, testimonials, photographs, or other materials (“User Content”). By submitting User Content, you grant the Charity a worldwide, non-exclusive, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media for purposes related to our charitable objectives.

You represent and warrant that you own or have the necessary licences, rights, consents, and permissions to grant the foregoing licence; your User Content does not infringe, violate, or misappropriate the rights of any third party; your User Content does not contain defamatory, libellous, offensive, or otherwise unlawful material; and your User Content does not contain viruses or other harmful code.

The Charity reserves the right, but assumes no obligation, to monitor, edit, or remove any User Content at our sole discretion and without notice. The views expressed in User Content do not necessarily reflect the views of the Charity, and we disclaim all liability in respect of such content.

PART III: Donations and Financial Transactions

Article 7: Online Donations

The Website facilitates online donations to support the Charity’s work. By making a donation through our Website, you agree to the terms set forth herein and in our broader Terms and Conditions of Engagement. All donations are processed securely through our appointed payment service provider, who maintains compliance with the Payment Card Industry Data Security Standard.

When making a donation, you represent and warrant that you are authorised to use the payment method provided; the payment information you supply is true, correct, and complete; you will notify us of any changes to your payment information; and the funds being donated are not derived from illegal activities and do not constitute proceeds of crime. The Charity reserves the right to refuse or return donations where required by law or where acceptance would be inconsistent with our charitable objectives or policies.

Donations made through the Website are generally irrevocable and non-refundable, except where required by law or where the Charity determines that exceptional circumstances warrant a refund. If you believe a donation has been made in error or through fraudulent use of your payment method, contact us immediately and we will investigate in accordance with our policies and applicable law.

Article 8: Gift Aid Declarations

UK taxpayers may enhance the value of their donations through the Gift Aid scheme, which enables the Charity to reclaim basic rate tax on eligible donations. By completing a Gift Aid declaration through our Website, you confirm that you are a UK taxpayer and understand that if you pay less Income Tax and/or Capital Gains Tax than the amount of Gift Aid claimed on all your donations in the tax year, it is your responsibility to pay any difference.

You must notify the Charity if you no longer pay sufficient tax on your income and/or capital gains; change your name or home address; or wish to cancel your Gift Aid declaration. The Charity will maintain records of your Gift Aid declaration for the period required by HM Revenue & Customs and may share relevant information with them for the purpose of claiming Gift Aid or responding to compliance reviews.

The Charity takes reasonable measures to ensure that Gift Aid is claimed only on eligible donations and that all claims comply with HMRC requirements. However, you remain responsible for ensuring that you meet the eligibility criteria for Gift Aid and for any tax liability arising from incorrect declarations.

Article 9: Recurring Donations

Where the Website offers the facility to establish recurring donations, additional terms apply. By setting up a recurring donation, you authorise the Charity to charge your designated payment method on a regular basis according to the frequency and amount you specify. You may cancel or modify recurring donations at any time through your account settings or by contacting us directly.

We will provide reasonable notice of any changes to the recurring donation facility, including changes to payment processing arrangements or administrative fees. We reserve the right to suspend or terminate recurring donation arrangements where payments fail repeatedly, where we suspect fraudulent activity, or where required by law or regulation.

You are responsible for ensuring that your payment method remains valid and that sufficient funds are available for recurring donations. If a recurring donation fails due to insufficient funds or an invalid payment method, we may attempt to process the donation again at a later date. Multiple failed attempts may result in suspension or cancellation.

PART IV: Intellectual Property

Article 10: Ownership of Content

All content on this Website, including text, graphics, logos, images, audio clips, video clips, digital downloads, data compilations, and software, is the property of the Charity or its content suppliers and is protected by UK and international copyright, trademark, and other intellectual property laws. The compilation of all content on this Website is the exclusive property of the Charity.

The Charity’s name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Charity or its affiliates. You may not use such marks without our prior written permission. Other names, logos, product and service names, designs, and slogans on this Website are the property of their respective owners.

Nothing in these Terms shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any intellectual property displayed on the Website without our written permission or that of the third-party owner.

Article 11: Limited Licence to Use

Subject to your compliance with these Terms, the Charity grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website content for personal, non-commercial purposes. This permits you to view, download, and print portions of the content solely for your own personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices.

You may share Website content through social media and other digital channels for the purpose of raising awareness of the Charity’s work, provided that such sharing includes appropriate attribution, does not misrepresent the Charity or its positions, is not done for commercial gain, and complies with relevant platform terms. Upon receipt of a valid notice, the Charity will respond expeditiously to remove or disable access to the allegedly infringing material and will take reasonable steps to notify the party that provided the content. We may terminate the accounts of users who repeatedly infringe copyright or other intellectual property rights. Counter-notices will be handled in accordance with applicable law.

Article 12A: ERAUK Logo and Brand Assets

The ERAUK logo, in all formats and variations, and all associated brand assets (including wordmarks, lockups, colourways, and templates) are the exclusive property of ERAUK. They may not be used, reproduced, modified, or distributed without prior written consent from the Charity. Any unauthorised use may constitute infringement and is prohibited.

PART V: Disclaimers and Limitations

Article 13: Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, AND SERVICES PROVIDED ON THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE CHARITY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Charity does not warrant that the Website will be uninterrupted or error-free; that defects will be corrected; that the Website or the servers that make it available are free of viruses or other harmful components; or that the Website or any content thereon will meet your requirements or expectations. Information may contain technical inaccuracies or typographical errors. Your use is at your sole risk.

Article 14: Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE CHARITY, ITS TRUSTEES, OFFICERS, VOLUNTEERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE WEBSITE.

IN NO EVENT SHALL THE CHARITY’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED THE AMOUNT YOU HAVE DONATED TO THE CHARITY THROUGH THE WEBSITE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

Article 15: Indemnification

You agree to indemnify, defend, and hold harmless the Charity and its representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms; your use or misuse of the Website; your violation of any rights of another party; your violation of any applicable laws; any User Content you submit; or any fraudulent, untrue, or inaccurate information you provide.

The Charity may assume the exclusive defence and control of any matter otherwise subject to indemnification. You shall not settle any matter without the Charity’s prior written consent. This obligation survives termination.

Proceedings must be conducted on an individual basis (no class, consolidated, or representative actions). The Charity may seek injunctive relief to protect its intellectual property.

Article 23: General Provisions

These Terms, together with our Website Privacy Policy and any other legal notices on the Website, constitute the entire agreement regarding your use of the Website. If any provision is held invalid or unenforceable, the remainder shall continue in full force and effect. No failure to assert a right constitutes a waiver. Section titles are for convenience only.
